TERMS OF SERVICE FOR MEMBERSHIP
OF ECEX.
This agreement is a
binding agreement between you (the Member) and the
Electronic Currency Equities Exchange (ECEX.) You should review
this
entire agreement before you decide whether to accept them
and continue
with the registration process.
BY CLICKING ON THE "I
ACCEPT" BOX IN THE SIGNUP FORM, YOU AGREE TO BE
BOUND BY THIS AGREEMENT.
MEMBERS ONLY
ECEX is a private web
site for the use of ECEX members only.
EXECUTION ONLY
ECEX is an "execution
only" trading service that facilitates the exchange
of investment instruments between members. All instruments
exchanged on
ECEX are offered by independent third parties and you as an
ECEX Member
alone are responsible for ensuring that you understand the
rules, terms
and conditions of the investments. ECEX accepts no responsibility
or
liability for the performance or non-performance of any company
or
investment that is traded on the ECEX. You agree that your
participation
in any investment traded on ECEX is entirely at your own risk.
NO OFFER OR SOLICITATION
No information published
on the ECEX website constitutes a solicitation or
offer, or recommendation, to buy or sell any investment instruments,
to
effect any transactions, or to conclude any legal act of any
kind
whatsoever. You acknowledge that your request for membership
is
unsolicited, and the provision of any information through
this website
shall not constitute or be considered investment advice, or
an offer or
solicitation to sell or buy any security.
LOCAL JURISDICTION
ECEX makes no representation
that content or materials in this web site
are appropriate or available for use in every jurisdiction.
Access to the
ECEX web site content or facilities from jurisdictions where
such access
is illegal, is prohibited. Application for membership of the
ECEX is made
under your own cognisance. You alone are responsible for your
compliance
with applicable laws. You are strongly advised to take appropriate
professional advice before making any decision or taking any
action which
might affect your personal finances or business.
TAX
ECEX does not advise
on individual tax liabilities and is not responsible
for any tax liability on Members' investments. Each Member
is responsible
for the compliance to relevant tax law and authorities and
is advised to
seek professional tax advice.
FEES
Creation of an ECEX
account is free and carries no obligation to the
Member. There are certain fees associated with the funding,
defunding,
and use of an ECEX account, which can be found here.
PASSWORDS
Member is entirely responsible
for maintaining the confidentiality of his
account, including but not limited to password security. Member
is
entirely responsible for any and all activities that occur
under the his
account. Member agrees to notify ECEX immediately of any unauthorised
use
of his account or any other breach of security. ECEX will
not be liable
for any loss that may occur as a result of someone else using
the Member's
password, either with or without your knowledge, which is
not a result of
a direct breach of ECEX site security.
ACCOUNT DETAILS
Member is entirely responsible
for maintaining and updating the contact
and identifying details in his account and ensuring that the
details
listed in his account are adequate to prove ownership of the
account. ECEX
will not recover lost passwords or change the e-mail address
for any
Member account without adequate proof of ownership.
SPAM
ECEX will not tolerate
any "spam." Spam is unsolicited advertising via
e-mail or other electronic means, and includes unsolicited
advertising to
individuals and lists of addresses, including but not limited
to opt-in
lists. Verified spam complaints against any Member will result
in his
account being closed without notice. In the event of a spam
complaint-related closure, any shares owned in the account
will
automatically be liquidated on the exchange at the last closing
price. All
resultant cash value and additional cash value in the Member
account will
be refunded to the Member outside of the ECEX system minus
a US$ 200.00
fee.
RIGHT OF REFUSAL
ECEX reserves the right
to refuse and/or limit access to the ECEX web site
or terminate a Member's use of the ECEX web site at its sole
discretion,
with or without cause.
ACCOUNT CLOSURE
In the event that a
Member's account is closed, Member will have access to
the account only to withdraw any remaining value. Any shares
or securities
owned by you will automatically be liquidated on the exchange
at the last
closing price. All resultant cash value and additional cash
value in the
Member account will be refunded to the Member outside of the
ECEX system.
Certain causes for account closure, including but not limited
to valid
spam complaints, hacking attempts by Member of the ECEX site
or other
Members' accounts, frivolous, slanderous or libelous reports
against ECEX
by the Member with industry authorities or service providers
(e.g.
electronic currencies from whom ECEX receives service) will
result in a
US$ 200.00 fee being charged from Member's closing balance.
This fee does
not preclude further action by ECEX against a former member
for the
aforementioned offences.
DISCLAIMER
ECEX does not warrant
this website for any particular purpose. It is
provided "as is" and on an "as available"
basis. ECEX disclaims any
warranty of any kind, whether express or implied, as to any
matter
relating to this website, including without limitation the
implied
warranties of merchantability, fitness for a particular purpose,
and
non-infringement. Use of this website is at the Member's own
risk.
NO LIABILITY
In no event will ECEX
or its directors, officers, or employees be liable
to the Member for any direct, indirect, special, consequential,
or
incidental damages related in any way to Member's use of this
website,
even if such damages are reasonably foreseeable or ECEX or
any other
party has been advised of the possibility of such damages.
INDEMNITY
Member agrees to indemnify,
defend and hold harmless ECEX, its
subsidiaries and affiliates, and their respective officers,
directors,
employees, agents, licensors, suppliers and any third party
information
providers to us from and against all losses, expenses, damages
and costs,
including reasonable attorneys' fees, resulting from any violation
of this
agreement by the Member.
GOVERNING PROTOCOL
The terms and conditions
pertaining to any information or service
appearing on the ECEX web site shall be governed and interpreted
in
accordance with the Common Economic Protocols.
AMENDMENT
ECEX reserves the right
to amend, update and/or modify this Agreement as
needed or as required. A minimum grace period of seven calendar
days will
be allowed for Member to evaluate any change to the Agreement
prior to
accepting the amendment(s). In the event that the Member does
not accept
the amendment(s) Member will have access to the account only
to withdraw
any remaining value. Any shares or securities owned by you
will
automatically be liquidated on the exchange at the last closing
price.
All resultant cash value and additional cash value in the
Member account
will be refunded to the Member outside of the ECEX system.
ECEX cannot expressly
or by implication guarantee a grace period for
acceptance of amendments to the Agreement which result from
third party
actions, either specifically aimed at ECEX or which detrimentally
effect
ECEX (e.g. if a given electronic currency were to no longer
allow ECEX to
do business with it, withdrawals to and deposits from the
currency would
be suspended immediately.)
